The Nautilus Solar Energy, LLC (“NSE”) Associate General Counsel will be responsible for supporting the General Counsel to ensure quality, efficiency and consistency across all legal documentation and due diligence related to NSE’s solar project acquisition, development and financing transactions. The AGC position will report directly to the General Counsel who is located in the Los Angeles office.

Responsibilities:

  • Provide transactional assistance and support on a wide variety of solar acquisition, development and financing transactions, including managing project due diligence and negotiating MIPAs, site control agreements, term sheets/LOIs, NDAs, EPC agreements and other ancillary agreements required in connection with NSE’s active pipeline and deal-flow
  • Assist with title, survey and easement requirements of projects
  • Provide organizational support to managing outside counsel
  • Work with the General Counsel to ensure quality, clarity and consistency across all legal documentation

Requirements:

  • Ability to manage the requirements of several transactions simultaneously and the ability to focus on details while still seeing the larger transaction picture
  • An effective candidate will demonstrate sound solar acquisition and development knowledge, ideally in the community solar space
  • Superior organization and communication skills across multiple deal teams
  • Must be able to take initiative and actively seek guidance from the GC where needed
  • JD from accredited law school
  • A current license to practice in one or more US jurisdictions 
  • A minimum of 5+ years of legal experience focusing specifically on M&A transactions in Solar
  • Extensive experience with MIPA transactions in solar preferable
  • Solid experience in drafting and negotiating EPC agreements a plus
  • Real estate, title and survey experience a plus
  • Unrestricted authorization to work in the U.S.

The Corporate Paralegalwill be responsible for supporting the General Counsel in a variety of transactional matters relating to the acquisition, development and finance of solar energy projects throughout the US, including matters of title and real estate, project acquisition, project finance and general corporate matters. 

Primary Roles and Responsibilities:

  • Provide general transactional and administrative support to General Counsel
  • Prepare initial drafts of various transactional documents and agreements
  • Draft corporate governance documents (resolutions, articles of formations, operating agreements, SPV formations)
  • Title and survey due diligence review and coordination
  • Prepare and manage closing checklists, coordinate the closing process for various acquisition and project financing transactions

Requirements:

  • 3 years relevant experience working as corporate or real estate transactional paralegal or project manager at a full-service law firm, or experience working for a title/escrow company
  • Excellent written and verbal communication skills
  • Strong organizational capabilities
  • Ability to work independently, plan and take initiative to accomplish objectives in a timely manner with minimum supervision
  • Title review experience a plus
  • Document management skills a plus
  • Renewable energy (solar) acquisition and financing experience a plus, but not required

Nautilus Solar Energy’s (NSE) Asset Manager, Operations will be responsible for managing the operations of NSE’s solar installations and directly support the ongoing operations of NSE’s generating portfolio. This position reports to the VP of Operations.

Using web-based monitoring tools, the Asset Manager will ensure that the operating portfolio is performing optimally.  The Asset Manager will also be responsible for supporting the development and construction of new solar generating assets. Travel typically less than 25%.  This position is in Summit, NJ.

PRIMARY FUNCTIONS

Operations

  • Monitor all NSE solar power plants daily, comparing output to expected, logging all alerts
  • Work closely with NSE’s monitoring partner(s) to continuously improve our capabilities and response time
  • Coordinate and track all required repairs
  • Prepare all Compliance Reports for NSE management and Financing Partners.
  • Help develop new requirements, specifications, best practices, and tools
  • Upload monthly system generation and track SREC activities

Maintenance

  • Manage Operations and Maintenance (O&M) Agreements for NSE’s generating portfolio.
  • Oversee monthly/quarterly/annual O&M activities, as required.
  • Develop tools, procedures and business relationships to help decrease NSE maintenance costs over time.
  • Ensure compliance with applicable warranties
  • Maintain the O&M log

Project Development and Management

  • Interface closely with the Project Development team during the pre-construction phase

REQUIREMENTS

  • 4-year degree required, Technical degree highly preferred
  • Strong Excel, analytical, organizational and problem-solving skills
  • Excellent written and verbal communication skills
  • Ability to interface with different levels and functions of the organization as well as with external parties such as banks, lawyers, customers and contractors

Nautilus Solar Energy’s (“NSE”), Procurement Manager, will be responsible for overseeing the ongoing procurement of equipment for all stages, from pre-construction to operations. As an important member of the operations team, you will support projects and assets at all stages of development, planning, installation as well as ongoing operations and maintenance efforts. In addition to comprehensive solar engineering knowledge, the work will require significant written communication and computing skills, and the ability to effectively work with technical and non-technical audiences. The prospective Procurement should have an undergraduate degree from a fully accredited college or university and at least 3-5 years of experience in the solar. A strong background in AC, DC, DAS equipment is also preferred.

Responsibilities:

  • Track ongoing equipment and spare parts procurement needs for solar PV projects
  • Manage pre-sales discussions with equipment vendors to ensure we have executed NDA, required support documents and pricing
  • Build and maintain relationships with major solar equipment vendors, particular module and inverter companies
  • As need be, secure one or more bids and provide procurement analysis
  • Coordinate with all stakeholders to ensure equipment model, price and scheduled meets project/assist needs
  • Negotiate equipment purchase orders and master service agreements, within Company Protocol
  • Manage deliveries, provided updates while communicating with the key contact at shipping address
  • Collect, review and process for payment of invoices
  • Track historical data including price, scheduled and experience
  • As need be, secure storage facilities for short & long term storage
  • Maintain all documentation
  • Promote and solicit future venders
  • Work closely in close-knit team environment and with other groups including development, portfolio operations and legal departments, as necessary.

Requirements:

  • Solar PV experience, proven reporting of financial, work and schedule progress
  • Organizational and process orientation skills to maintain documentation, correspondence and related files
  • Ability to coordinate and prioritize multiple projects and tasks
  • Proficiency with Project planning and Management Software, PVBid, PowerPoint, Excel and other similar software
  • Ability to review Schedules and Budgets for accuracy and completeness

The candidate will have the option to work remotely with regular travel to Summit, NJ HQ or other sites as required. Procurement Manager will report to the Vice President of Operations based in Summit, NJ.

Position Summary

The Office Administrator is responsible for a providing a wide range of office management and support to the company including answering phone lines, scheduling/managing calendar, making/confirming meeting arrangements. Must be self-managed. Must be open to not only being an office administrator, but also supporting a CEO and President with travel arrangements, calendaring, expense reports, etc. Must be resourceful, an independent thinker, and self-sufficient as well as self-motivated. This position reports to the CEO.

Essential Duties and Responsibilities

The essential functions include, but are not limited to the following:

  • Managing and executing overall administrative activities for the office, including managing leases
  • Supporting CEO, President and COO in administrative duties
  • Managing the day-to-day office operations including housekeeping of office; purchasing office supplies, furniture, office equipment etc.; work with landlord in regard to issues like heat problems, water problems, general repairs in the office; and changing light bulbs and air fresheners, managing recycling.
  • Managing company vendors.
  • Supervises the maintenance of office equipment, including copier, telephones,
  • Performing administrative work such as filing, sorting, and distributing mail; assisting with the preparation of correspondence to clients
  • Maintaining confidentiality of sensitive and confidential information
  • Will be participating and supervising in a wide-range of company projects and events
  • Participates as needed in special department projects.
